Introduction

MathCo, legally known as TheMathCompany, is a global AI and Analytics firm headquartered in Bengaluru, India and Chicago, USA. The firm partners with some of the world’s largest enterprises across industries, including retail, CPG, life sciences and healthcare, and manufacturing, to help business leaders solve their most pressing challenges through the power of data and AI.

As a socially responsible organization, MathCo has been actively contributing to society since 2019 through focused and impactful CSR initiatives. The company’s CSR function, CoExist, is driven by passionate employees who voluntarily come together to ideate, implement, and track MathCo’s social impact initiatives.

CSR Pillars

MathCo’s CSR initiatives focus on promoting self-sufficiency and empowerment among underprivileged communities in India. Through targeted skills development programs and strategic partnerships with local NGOs and community organizations, MathCo aims to create sustainable impact and enable individuals to build better futures.

Our CSR strategy aligns with our business philosophy of meaningful engagement and sustainable development. The initiatives are structured under three core pillars:

  • Empowerment through Education – supporting education infrastructure, science labs, and learning opportunities.
  • Empowerment through a Clean and Safe Environment – initiatives such as beach clean-ups, tree plantations, and disaster relief.
  • Empowerment through Livelihood Opportunities – skills development programs and initiatives to create sustainable income streams.

The CSR Committee meets periodically to review the implementation of CSR programs, assess impact, and issue strategic direction to ensure orderly and effective execution of initiatives. The Committee is also responsible for updating the Board on the status of CSR activities.

Roles and Responsibilities
CSR Committee

The CSR Committee shall:

  1. Formulate and recommend to the Board the Corporate Social Responsibility Policy in line with Schedule VII of the Companies Act, 2013 (as amended).
  2. Recommend the annual CSR budget.
  3. Monitor the implementation of CSR activities on an ongoing basis.
  4. Recommend any other measures necessary to achieve the objectives of the CSR Policy.
CSR Board

The Board shall:

  1. Constitute a CSR Committee and disclose its composition.
  2. Approve the CSR Policy as recommended by the Committee.
  3. Publish the CSR Policy on the company website.
  4. Ensure the implementation of CSR activities and expenditure of the prescribed amount annually.
  5. Disclose reasons in the Annual Report if the prescribed CSR amount is not spent.
  6. Ensure administrative overheads remain within 5% of total CSR expenditure.
  7. Ensure funds disbursed are utilized as approved; Head of Finance shall certify utilization.
  8. Approve the transfer of unspent CSR funds in accordance with applicable law.
CSR Budget and Expenditure

MathCo shall spend at least 2% of its average net profits before tax of the three immediately preceding financial years on CSR activities as mandated by law. In case of any unspent amount, the same will be managed as per the provisions of the Companies Act and related rules.

Disclosure and Reporting

In compliance with Section 135 of the Companies Act, 2013, and CSR Rules:

  • CSR activities and expenditure shall be disclosed in the company’s Annual Report as part of the Co-founders’ Report.
  • The CSR Policy shall be published on the company’s website.
  • Details of the composition of the CSR Committee, approved projects, and expenditures will be made publicly available as per regulatory requirements.
CSR Awareness

MathCo shall foster internal awareness around CSR initiatives through CoExist-led communication, employee engagement campaigns, and volunteering opportunities. Employees will be encouraged to actively participate in initiatives that contribute to sustainable social impact.
